Terms of Service

These Terms of Service ("Terms") apply to your use of greylabelvn.com (the "Site") and to any fixed-price service you purchase from Grey Label VN LLC, a Wyoming limited liability company ("Grey Label VN," "we," "us"). By using the Site or buying a service, you agree to these Terms.
1. What we do
Grey Label VN provides business consulting to small e-commerce businesses: product sourcing advice and e-commerce marketing reviews. Our services are advisory. We deliver calls, written reports, and recommendations. We do not sell physical products, act as an importer of record or customs broker, place orders on your behalf, or hold or transfer money to suppliers for you.
2. Fixed-price services
Fixed-price services (such as a Founder Session, Launch Check, Sourcing Discovery, or First Launch Bundle) are described on our Services page, including what's included and the expected delivery time. Payment is due at booking. Delivery times begin once we receive the information we need from you to start.
Larger engagements, such as First Product Sourcing, are governed by a separate signed Client Services Agreement. If that agreement conflicts with these Terms, the signed agreement controls.
3. Your responsibilities
• Provide accurate, complete information about your business and product.
• Make your own business decisions. Our recommendations inform your choices; they don't replace your judgment.
• Handle your own contracts, orders, payments, and communication with suppliers, as well as your own compliance with product safety, labeling, import, and tax requirements.
4. No guarantees
We give honest, experienced advice, but we can't guarantee outcomes. That includes sales, ad performance, conversion rates, supplier pricing, quality, lead times, or a supplier's willingness to work with you. Suppliers we identify or introduce are independent businesses. We don't control them and aren't responsible for their products, performance, or conduct.
5. Deliverables and intellectual property
Once paid, you may use the reports and materials we deliver to you for your own business. We keep ownership of our general methods, templates, know-how, and any materials we created before or outside your engagement. Please don't resell or publish our deliverables as your own product.
6. Confidentiality
We keep the non-public information you share with us confidential and use it only to deliver your service. We may share it with a supplier only when needed for an introduction you've asked for.
7. Limitation of liability
To the extent permitted by law, Grey Label VN's total liability for any claim relating to a service is limited to the amount you paid for that service. We are not liable for indirect, incidental, or consequential losses, including lost profits, lost sales, or inventory costs.
8. Refunds
Cancellations and refunds are covered by our Refund & Cancellation Policy.
9. Website use
Site content is provided for general information and may change without notice. Please don't copy, scrape, or republish it without permission.
10. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming. If a dispute arises, please contact us first. Most issues can be resolved directly. Any dispute we can't resolve informally will be settled by binding arbitration administered by the American Arbitration Association, consistent with our Client Services Agreement.
11. Changes
We may update these Terms from time to time. The effective date above shows the latest version. Purchases are governed by the Terms in effect when you bought.
